Afriden Platform Terms of Use

Welcome to Afriden! These Terms of Use explain the rules for using the Afriden platform, available through our mobile application (the "Platform"). This includes all information, content, and materials you find or access on the Platform (the "Content").

By accessing and using the Platform, you agree to these Terms of Use. They form a legal agreement between you and Afriden, governing your use of the Platform and its Content. If you're using the Platform on behalf of a business, you confirm you have the authority to bind that business. If you don't agree, please stop using the Platform immediately.

Who We Are and How to Contact Us

The Afriden Platform is operated and owned by AFRIDEN WEB PUBLISHING FZ-LLC ("Afriden," "we," "our," "us").

Changes to These Terms and the Platform

We may update these Terms of Use from time to time, and the latest version will always be available on this page. If you're a registered user, we might also notify you of significant changes via email if required by law. Please check these Terms regularly to stay informed.

We may also change how the Platform works or update any Content without notice. This could be to improve features, adapt to new technology or market practices, comply with laws, or align with our business priorities.

Platform Availability

We don't guarantee that the Platform or its Content will always be available or free of charge. We may suspend, withdraw, or restrict access to all or part of the Platform for business or operational reasons.

Your Privacy

Please refer to our Privacy Policy to understand how we collect, process, and share your personal data when you use the Platform.

Your Right to Use the Platform and Content

As long as you comply with these Terms, Afriden grants you a personal, limited, non-transferable, non-exclusive, and revocable right to use the Platform and Content.

You can print one copy or download extracts of any page for your personal use, and you can share Content with others. However, you must not modify any printed or downloaded materials, and you can't use illustrations, photos, videos, audio, or graphics separately from their accompanying text. Using any part of the Content for commercial purposes requires a license from us.

Afriden owns or licenses all rights (including intellectual property rights) in the Platform and Content, including designs, text, graphics, and their arrangement. The Platform and Content are protected by copyright laws globally. All such rights are reserved.

All trademarks, logos, trade dress, service names, and service marks ("Marks") on the Platform belong to us or other third parties. You are not allowed to use these Marks without our prior written consent.

Restrictions on Use

You must not:

• Use the Platform if you are under 18 years old.

• Use the Platform unlawfully or for any unlawful purpose.

• Attempt to gain unauthorized access to the Platform, its servers, or any connected databases.

• Interfere with, damage, or disrupt any part of the Platform or Content, or any related equipment or software.

• Knowingly introduce viruses, Trojans, worms, logic bombs, or other harmful material.

• Impersonate another person.

• Be vulgar, offensive, harassing, or objectionable.

• Use the Platform to generate unsolicited advertisements or spam.

• Reproduce, copy, sell, trade, resell, or exploit for commercial purposes any part of the Platform or Content.

• Use manual methods or automated tools (like 'spiders' or 'bots') to scrape data, create databases, or bypass any robot exclusion headers.

• Reverse-engineer, decompile, disassemble, or attempt to derive the source code for the Platform or Content.

We will report any breaches of these restrictions to law enforcement authorities and will cooperate by disclosing your identity to them.

Account Creation

While you can browse the Platform as a guest, you'll need to create an account ("Account") to access certain features. When you register, you'll need to provide truthful and accurate information about yourself. If your information changes, please update it to keep it accurate.

If you want to delete your Account, you can do so by emailing support@Uzawy.com.

You are responsible for keeping your Account log-in information (including your password) confidential and for all activities that occur under your Account. Notify us immediately if you suspect any unauthorized use of your Account or a security breach.

All information you provide to create an Account (including for ‘Verified’ status) will be used according to our Privacy Policy.

Paid Services

Afriden may offer paid services on the Platform ("Paid Service"), for example, to feature your Listing more prominently.

Please note that any fee paid for a Paid Service is non-refundable in all circumstances. Paid Services are for your convenience and do not guarantee success for your Listing or a minimum number of leads.

Listings

The Platform allows property owners ("Owners") or their real estate agents ("Agents") to advertise properties for rent or sale (each a "Listing"). Users interested in renting or buying ("Renters" or "Buyers") can then contact the Owner or Agent through the Listing.

If you are an Owner, you must:

• Be legally permitted to advertise the property.

• Be the legal and registered owner, or legally permitted to rent or sell the property.

• For ‘off-plan’ properties, ensure the project is registered and authorized by the relevant real estate authority.

• Include a complete and accurate property description.

• Only include one property per Listing.

• Only advertise properties currently available for lease or sale.

• Only advertise properties that can be lawfully leased or sold, subject to all restrictions.

• Comply with all applicable laws and regulations.

• Act lawfully and in good faith with Renters and Buyers.

If you are an Agent, you must:

• Be legally permitted to advertise the property.

• Have authority from the Owner to advertise the property.

• Possess a valid license from the relevant real estate authority and commercial license(s) to practice this activity through the Platform.

• For ‘off-plan’ properties, ensure the project is registered and authorized by the relevant real estate authority.

• Include a complete and accurate property description.

• Only include one property per Listing.

• Only advertise properties currently available for lease or sale.

• Only advertise properties that can be lawfully leased or sold, subject to all restrictions.

• Comply with all applicable laws and regulations.

• Act lawfully and in good faith with Renters and Buyers.

If you are a Renter or Buyer, you must:

• Understand that Afriden is not a real estate broker or agent.

• Acknowledge that Afriden is not obligated to verify the accuracy or completeness of listings; you must conduct your own due diligence.

• Be legally permitted to rent or purchase the property.

• Act lawfully and in good faith in your dealings with any Owner or Agent.

Afriden's Role Regarding Listings and User Interactions

Afriden does not monitor, approve, or moderate Listings, and we are not responsible for the Listings posted on the Platform. If you rent or purchase a property through the Platform, you will be contracting directly with the user who posted the Listing, without Afriden's involvement.

While we are not responsible for Listings, we reserve the right to monitor them and remove any Listing that, in our sole opinion, breaches these Terms of Use.

Also, Afriden doesn't guarantee your Listing will reach your intended audience, result in a minimum number of leads, or be successful.

Your Interactions with Other Users

The Platform facilitates connections between users (e.g., Owners/Agents with Renters/Buyers). However, Afriden has no control over these interactions, as they occur outside the Platform.

Therefore, Afriden is not responsible for your interactions with other users. You are solely responsible for these interactions.

We encourage you to be diligent and cautious when communicating with others, especially when sharing sensitive personal information. Do not send payments to another user without appropriate documentation, like an enforceable lease or property sale agreement. If you suspect fraud, contact the appropriate authorities (e.g., the Police).

Uploading Content to the Platform

Any content you upload to the Platform, including as part of a Listing, will be considered non-confidential and non-proprietary.

You keep all your ownership rights in your content, but you grant us and other Platform users a limited license to use, store, copy, distribute, and make that content available to third parties. Specifically, you grant us a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with the Platform's services and to promote the Platform.

You are solely responsible for securing and backing up your content.

We have the right to disclose your identity to any third party who claims that your content violates their intellectual property rights or privacy rights.

We reserve the right to remove any content you post or upload, with or without notice, if, in our sole opinion, it does not comply with these Terms of Use.

Processing Payments

In certain cases, we may collect payments from you via the Platform (including for Paid Services). By providing your payment method details, you authorize us (through our chosen payment processor) to charge the displayed amount.

We are not responsible for any losses if your payment method lacks sufficient funds.

Our Liability to You

We do not exclude or limit our liability where it would be unlawful to do so.

Subject to the above, our liability is limited as follows:

• If you are using the Platform for business or commercial purposes: We provide the Platform and Content "as is" and "as available." We exclude all implied conditions, warranties, representations, or other terms. We will not be liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising from your use of, or inability to use, the Platform, or your reliance on any Content. This includes, but isn't limited to, loss of profits, sales, business, revenue, business interruption, anticipated savings, business opportunity, goodwill, reputation, data loss or corruption, or any indirect or consequential loss. We are also not liable for losses from your interactions with other users.

• If you are using the Platform in a personal capacity: You acknowledge that we provide the Platform for domestic and private use only. We don't guarantee the Platform's availability, or that it or any Content will be error-free or fit for any specific purpose. You agree not to use the Platform for commercial or business purposes, and we are not liable for any loss of profit, business, business interruption, or business opportunity. We are also not liable for any loss or damage you suffer from your interactions with other users. If we fail to comply with these Terms, we are only responsible for loss or damage that is a foreseeable result of our breach or failure to act with reasonable care and skill.

In no event will Afriden's liability to you in connection with your use of the Platform or these Terms of Use exceed the higher of: (i) the amount you paid for the Paid Service related to the dispute or claim (if any); or (ii) one thousand UAE Dirhams (AED 1,000).

Breach of These Terms of Use

If we believe you have breached any part of these Terms of Use, we may take appropriate action, including suspending or withdrawing your right to use the Platform or Content, closing your Account, and/or taking legal action against you.

Reporting Illegal or Infringing Content

If you find any Content on the Platform that you believe is illegal, please contact us immediately at support@Uzawy.com with full details.

If you are an intellectual property rights owner, or an authorized agent, and believe any Content infringes your intellectual property rights, please notify Afriden at support@Uzawy.com with full details of the alleged infringement. We will make reasonable efforts to remove infringing Content within a reasonable time.

General Information

• Links to Third-Party Sites or Content: The Platform may contain links to other websites and third-party content. These links are for your convenience only and don't imply our approval of those linked websites or content. We have no control over third-party websites and exclude all liability in that regard.

• Linking to the Platform: You may link to any page or specific Content on the Platform, provided you do so fairly and legally without damaging our reputation or taking advantage of it. The Platform must not be framed on any other website. You must not suggest any form of association, approval, or endorsement where none exists. We reserve the right to withdraw linking permission without notice.

• Contact: You can contact us by emailing support@Uzawy.com. If we need to contact you, we will use the email address associated with your Account (if any).

• Viruses: We don't guarantee that the Platform and Content will be secure or free from bugs or viruses. You are responsible for configuring your device securely and using your own virus protection software.

• Events Outside Our Control (Force Majeure): We will not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control (a "Force Majeure Event"). This includes any act, event, non-happening, omission, or accident beyond our reasonable control. Our obligations will be suspended for the duration of the Force Majeure Event, and we will have an extension of time to perform them. We will try to resolve the Force Majeure Event or find a solution to perform our obligations despite it.

• Other Agreements: These Terms of Use apply in addition to any other agreements you may have with Afriden or its affiliates regarding other services. If there's a conflict, these Terms will prevail to the extent of the conflict.

• Transfer of Rights: We may transfer our rights and obligations under these Terms to another organization. We will notify you in writing if this happens, and it won't affect your rights.

• No Third-Party Rights: These Terms of Use are between you and Afriden only. No other person has any rights to enforce or rely on its provisions.

• No Waiver: If we delay in enforcing our rights under these Terms, it doesn't mean we waive those rights, and we can still enforce them later.

• Severability: If any part of these Terms is found to be unlawful by a court, the remaining sections will remain in full force and effect.

• Accessing from Other Territories: The Platform is directed to people residing in specific territories only. We cannot guarantee that the Content is appropriate or available in locations where we don't explicitly make the Platform available, or that it complies with laws in territories we don't operate in.

• Language: If these Terms are translated, the English version will prevail in case of any discrepancy, to the fullest extent permitted by law.

• Dispute Resolution: If a dispute arises, we encourage you to first contact us directly to seek a resolution. We will review your complaint. If a dispute cannot be resolved amicably, then to the fullest extent permitted by applicable law, these Terms of Use, their subject matter, and their formation (and any non-contractual disputes or claims) are governed by the laws of the International Financial Centre ("DIFC") and will be interpreted accordingly. You irrevocably agree that the DIFC courts will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with your use of the Platform or these Terms of Use.
